1. Acceptance of terms

By accessing or using Brokenly(the “Service”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not use the Service. The Service is operated by [Operator Legal Name] (“we”, “us”, or “our”), with its registered office at [Operator Registered Address], Germany.

2. The Service

Brokenly is a software-as-a-service tool for checking and managing affiliate links and related workflows. We may add, modify, or discontinue features at any time, and we may impose limits on certain features or restrict access without notice or liability.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

4. Accounts

You are responsible for providing accurate registration information, keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly at contact@brokenly.io of any unauthorized use.

5. Subscriptions and billing

Paid plans are billed in advance on a recurring basis through Stripe and renew automatically until cancelled. Fees are non-refundable except where required by law. You authorize us to charge your payment method for all applicable fees and taxes. We may change pricing on a prospective basis with prior notice.

6. Acceptable use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Use the Service to send spam, malware, or to violate the rights of any third party.
  • Reverse engineer, decompile, scrape, or otherwise attempt to extract source code from the Service except where permitted by law.
  • Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.
  • Share your account credentials with others.

7. Your content

You retain all rights to any content, data, or material you submit to the Service (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely as necessary to operate and provide the Service to you. You are responsible for Your Content and for ensuring that it does not violate any law or third-party rights.

8. Intellectual property

The Service, including the software, design, branding, and all associated content, is owned by [Operator Legal Name] and is protected by copyright, trademark, and other laws. Except for the limited right to use the Service granted by these Terms, no rights are transferred to you.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service immediately, without notice, if you violate these Terms or if we are required to do so by law. Upon termination, the rights you have to use the Service will cease immediately.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY RESULTS OBTAINED THROUGH THE SERVICE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) USD 100. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless [Operator Legal Name] and its affiliates, officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Governing law and venue

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The exclusive venue for any dispute arising from or relating to these Terms or the Service is the competent courts of [Operator's seat city, Germany], to the extent permitted by law.

Mandatory consumer protections. Nothing in these Terms deprives you of the protection of any mandatory consumer laws of your country of residence. For users residing in the United States, applicable federal and state consumer-protection laws (including, for California residents, the California Consumer Privacy Act / California Privacy Rights Act) continue to apply where they would otherwise grant you stronger protection than these Terms.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the “Last updated” date above. Your continued use of the Service after the changes become effective constitutes acceptance of the updated Terms.
